Terms of Service
1. Provider and Scope
These Terms govern the use of Popsight desktop software and related services offered by Dharma Digital UG (haftungsbeschränkt), Aachener Str. 34, c/o Antonio Agudo, 50674 Köln, Germany ("we", "us").
Popsight is offered to both consumers (B2C) and business customers (B2B). Mandatory consumer protection laws remain unaffected.
2. Contract Formation and Language
Purchases are made through Paddle.com Market Ltd., acting as the Merchant of Record (reseller). The purchase contract is formed between you and Paddle. Paddle is responsible for invoicing, VAT, payment processing, and refunds under the purchase contract.
Dharma Digital grants you the software license under these Terms. The Paddle Buyer Terms apply in addition.
Prices for EU customers are shown in EUR and VAT handling is performed via Paddle.
3. Product, License, and Access
We grant a non-exclusive, non-transferable right to use Popsight in accordance with the purchased plan (e.g., annual, lifetime, seat limits).
License keys and trial/invite-code access are technical access methods only. Access may be suspended for abuse, fraud, or material breach.
In trial mode, invite-code users may route LLM requests through our servers. In BYOK mode, requests are sent directly from your device to your selected LLM provider.
4. Updates, Changes, and Availability
We may provide security, compatibility, and feature updates. You are responsible for installing updates when required for security or conformity.
We may modify or discontinue non-essential features for objective reasons (security, legal, technical, supplier changes), while preserving core contractual functionality.
Temporary downtime for maintenance or incidents can occur.
5. Consumer Right of Withdrawal (EU)
Since the purchase contract is between you and Paddle, the statutory right of withdrawal is governed by the Paddle Buyer Terms. Paddle provides the formal withdrawal instructions.
For digital content, this withdrawal right may expire before the 14 days end if you explicitly request immediate performance and acknowledge loss of withdrawal rights once performance begins.

6. Payment, Renewal, and Termination
Subscription plans renew according to the selected billing cycle unless canceled before renewal. Cancellation stops future renewals and does not create retroactive prorated refunds unless legally required or upon extraordinary termination for cause.
Lifetime plans grant perpetual use rights for the purchased scope, subject to these Terms and legal limitations.
We may terminate for cause, including serious breach, abuse, fraud, or unlawful use. Either party's right to extraordinary termination for cause remains unaffected; any resulting refund claims remain unaffected as well.
7. User Obligations
You must use Popsight lawfully and comply with applicable third-party provider terms (e.g., OpenAI, Anthropic, Google, Perplexity) when using BYOK or proxy-supported functionality.
You must not attempt to reverse-engineer access controls, circumvent technical restrictions, or use the service for unlawful, abusive, or infringing purposes.
8. Defects and Liability
Statutory rights for defects and legal guarantees apply.
For consumers, liability limitations apply only to the extent legally permitted.
For businesses, liability for slight negligence is excluded except for injury to life/body/health, essential contractual obligations, and mandatory statutory liability.
9. Data Protection
Data processing is governed by our Privacy Policy.
10. Dispute Resolution and ODR Notice
The EU Online Dispute Resolution platform (Regulation (EU) 524/2013) was discontinued as of 20 July 2025 under Regulation (EU) 2024/3228.
We are not willing and not obliged to participate in consumer dispute resolution proceedings before a consumer arbitration board, unless mandatory law requires otherwise.
11. Governing Law and Venue
German law applies. If you are a consumer residing in the EU, mandatory consumer protection provisions of your country of residence remain unaffected.
For merchants, legal entities under public law, or special funds under public law, exclusive venue is Cologne, Germany.
